Beginning the Project. All projects require a signed agreement be returned prior to the website going "LIVE" on the web. |

Development. All Web Design Projects are created using Macromedia Dreamweaver. We do not use any other software. All files are transferred to the Web Server via FTP. |

| |
Browser Compatibility. Designing a Web Design Project to fully work in multiple browsers (and browser versions) can require considerable effort and can involve creating multiple versions of code. Glenn McDaniel Arts, LLC represents and warrants that the code we deliver to you will work in the latest version of Microsoft Internet Explorer. We will make reasonable efforts to produce fully-functional code, but warranty does not cover AOL, text-based browsers or requested special effects that we have advised Client against. |

Web Design Project Copyright. Copyright to the finished Web Design Projects authored and produced by Glenn McDaniel Arts, LLC will be owned by Glenn McDaniel Arts, LLC. The Client will be assigned rights to use the Web Design Projects once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the Client, and remain the property of their respective owners. All Web Design Projects will contain a copyright/legal statement with a link to Glenn McDaniel Arts, LLC. Any use of content published within the Web Design Project will be considered an infringement of the copyright held by Glenn McDaniel Arts, LLC. |

Copyrights and Trademarks. The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished for inclusion in any Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend Glenn McDaniel Arts, LLC from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client. All content authored and or created by Glenn McDaniel Arts, LLC is the sole and exclusive property of Glenn McDaniel Arts, LLC and may not be used, reproduced or altered without written consent. |

Web Site Maintenance. This agreement allows for support over a 30 day period. It does not include page updates replacing text from a page with new text, major page reconstruction, new pages, navigation changes or updates by Client unless Client has instructed changes and in doing so accepts billing according pricing guidelines of Glenn McDaniel Arts, LLC. The period of 30 days begins on the date the Client's Web Design Project is delivered. If the Client's Web Design Project includes database access using Active Server Pages (ASP), only very minor page code changes will be accepted under this maintenance plan and will be exclusively at the discretion of Glenn McDaniel Arts, LLC, major page code and/or database structural changes will be charged at hourly rates. Completion Date. Glenn McDaniel Arts, LLC and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project no later than 30 days after Client has submitted all necessary materials. If the Client does not supply Glenn McDaniel Arts, LLC with complete text and graphics content for Web Design Projects within 15 business days after payment is made, the amount equal to 50% of the toal cost will be considered a deposit and the deposit amount shall be retained by Glenn McDaniel Arts, LLC as liquidated damages and the contract shall become null and void, at the option of Glenn McDaniel Arts, LLC. |

Project Delivery. The final Web Design Project will be published to the Client's hosting service upon receipt of final payment. The Client understands that Glenn McDaniel Arts, LLC does not provide any hosting services in connection with any Web Design Projects unless the Client has arranged for and established an account for hosting to be provided by Glenn McDaniel Arts, LLC. Hosting services with Glenn McDaniel Arts, LLC are billed according to current rates posted on this website page: prices External hosting services require a separate contract with the hosting service of the Client's choice if client does not want hosting services provided by Glenn McDaniel Arts, LLC. The Client agrees to select a hosting service which allows Glenn McDaniel Arts, LLC full access to the Client's account via FTP. The Client will be solely responsible for any and all hosting service charges with vendors other than Glenn McDaniel Arts, LLC. |

Search Engine Submissions. Website Design Projects include Search Engine submissions to Google, Yahoo, and MSN. Glenn McDaniel Arts, LLC makes no commitment to timelines or guarantee of placements on Search Engines. |

Payments. Payments must be made promptly on the first day of each calendar month based on the terms of Web Design Project requested. Payments not received within ten business days of the first day of each calendar month will be concidered late and assessed a ten percent late fee and eighteen percent annual interest. Glenn McDaniel Arts, LLC reserves the right to remove any Web Design Project from viewing on the Internet after ten business days of the first day of each calendar month until total payment and late fee and interest is made. Page updates, adding of Meta Tags (Description and Keywords) and updating as well as any further work to client projects occur only after the full final payment and all fees are made. Payment for services provided hereby shall be made in accordance with the conditions contained in these terms. The Client agrees to pay to Glenn McDaniel Arts, LLC in full before any project will commence unless other arrangements have been made. Final payment is due prior to publication and/or delivery of Web Design Project. All payments will be made in U.S. Dollars. Returned checks will incur a $45 fee. We accept checks and credit cards by PayPal. |

Legal Notice. The entire risk as to the quality and performance of the Web Design Project is with the Client. In no event will Glenn McDaniel Arts, LLC be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate the project, failure of any service provider, of any telecommunications carrier, of the internet, of any internet servers, your computer or your site visitor's computer or internet software, even if Glenn McDaniel Arts, LLC has been advised of the possibility of such damages. |
